 This department acts as general counsel for businesses of all sizes in the state. Within this department, attorneys provide advice and documentation for:
- Forming and selecting the business entity
- On-going business operations
- Internal agreements, such as buy-sell agreements and employment contracts
- Tax and employee benefit planning
- Contracts with other entities
- Long-range planning
Attorneys in this department are also active in many aspects of business financing - including bank commercial loan documentation, municipal finance work, and representation of venture capital companies.

MERGERS AND ACQUISITIONS
Often the sale, merger, or acquisition of a business enterprise will be the most important economic event in a business owner's lifetime. Negotiating mergers and acquisitions requires knowledge of various legal disciplines, including corporate law, employee benefits, environmental law, securities law, tax law, the Uniform Commercial Code, and real estate law.
Our attorneys have assisted our clients in the successful facilitation of numerous transactions in the $1-50 million range.
TAXATION
Few transactions occur where tax issues are not a key factor. The firm's full-time tax practitioners are consulted whenever significant tax issues or planning is involved. Direct involvement with tax audits and tax litigation is also a significant part of the firm's practice. Also common is business organization restructuring - where tax considerations are often a focal point.
MUNICIPAL FINANCE
Business/governmental cooperation continues to grow, and the firm is uniquely able to help in this process. In addition to representing several municipalities, the firm serves corporate and nonprofit borrowers with respect to bond financing, tax abatement arrangements, government-assisted economic development projects, and other creative mechanisms for governmental and business cooperation.
SECURITIES LAW
Business owners are often surprised to learn that personal liability is a possibility if a company's funds are raised without careful attention to state and federal securities laws.The firm provides expert assistance to ensure that its clients comply with exemption from registration requirements of state and federal securities laws.
IMMIGRATION
Given the increasing influence of the global economy on our clients' businesses, the firm provides a wide range of immigration related services including obtaining employment authorization and permanent residency for foreign employees, as well as assistance with the international transfer of personnel within multinational companies.
